PROXY FOR VOTING MEMBERS OF THE ROYAL CANADIAN YACHT CLUB (the "Club").
PROXY SOLICITED BY MANAGEMENT OF THE CLUB, for the Special Meeting of Members of the Club to be held on Wednesday, October 14, 2026 commencing at 1800 hrs. NOTE: PLEASE READ THE INSTRUCTIONS AT THE BOTTOM OF THIS PROXY TO ENSURE THAT IT IS VALIDLY COMPLETED.
The undersigned, being a Voting Member of the Club, hereby appoints Donna Hersey, the Club’s Secretary, or instead of her the following Member,
as proxy of the undersigned to attend THE SPECIAL MEETING OF MEMBERS TO BE HELD ON WEDNESDAY, OCTOBER 14, 2026 AT 1800 HRS, AND AT ANY ADJOURNMENT THEREOF and to vote and otherwise act thereat for and on behalf of the undersigned upon the following motions referred to in the notice of meeting and the undersigned hereby revokes any proxy previously given with reference to the said meeting.
Without limiting the generality of the power hereby conferred, the persons designated above are directed to vote in the name of the undersigned as specified below.
THIS PROXY IS SOLICITED BY MANAGEMENT OF THE CLUB. A VOTING MEMBER HAS THE RIGHT TO APPOINT A MEMBER, OTHER THAN THE NOMINEE DESIGNATED ABOVE, TO REPRESENT THE VOTING MEMBER AND TO ATTEND AND ACT FOR THE VOTING MEMBER AT THE MEETING AND MAY EXERCISE SUCH RIGHT BY INSERTING THE NAME OF SUCH NOMINEE IN THE SPACE PROVIDED ABOVE FOR THAT PURPOSE. SUCH NOMINEE MUST BE A MEMBER OF THE CLUB. NO PERSON MAY BE APPOINTED AS A PROXYHOLDER FOR MORE THAN THREE VOTING MEMBERS, BEYOND THEIR OWN, WITH THE EXCEPTION OF THE SECRETARY. THE SECRETARY MAY ACT AS PROXYHOLDER FOR ANY NUMBER OF VOTING MEMBERS IN RESPECT OF DIRECTIVE PROXIES ONLY, WITHOUT DISCRETION.
Proxies may be mailed to the attention of the Secretary at the Club or dropped off with reception at the City Clubhouse or sent by e- mail to [email protected]. Each proxy must be deposited with the Secretary by 1800 hrs. on Tuesday, October 13, 2026.

This Proxy is Schedule A of section 6.13(a) of By-law #1 which appears below –

6.13(a) Proxies

6.13.1 Appointment – Each Voting Member may by written proxy appoint a person as that Member’s nominee to attend and act at any annual or special meeting of Members in the manner, to the extent and with the power conferred by that proxy. A proxyholder duly and sufficiently appointed by a Voting Member shall be entitled to exercise, subject to any restrictions expressed in the instrument appointing such person, the same voting rights that the Voting Member appointing the proxyholder would be entitled to exercise if present at the meeting. An instrument appointing a proxyholder shall be acted on only if, prior to the time of voting, it is deposited with the Secretary in accordance with Section 6.13.2. A Voting Member may appoint another Member as a proxyholder, or if the proxy is a directive proxy (i.e. the Voting Member instructs the proxyholder how to vote on all motions and the proxyholder has no discretion), a Voting Member may appoint the Secretary as a proxyholder.

On the day of the meeting, the Secretary will be seated separately from the Registration Table and will register and issue ballots to all Proxyholders.
